Welcome to Creatiq. These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, products, and services operated by Creatiq Communications, Inc. (“Creatiq,” “Company,” “we,” “us,” or “our”), a Florida corporation, including but not limited to creatiq.com, our Amplify suite of products, Atlas AI agent services, and all related communications channels.

By accessing or using any Creatiq website, product, or service, you (“User,” “Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Services Overview

Creatiq provides a range of digital, creative, and technology services, including:

  • Agency Services: Website design and development, branding, digital marketing, compliance auditing, and consulting.
  • Software Products: Amplify GEO (geographic expansion platform), Amplify Pulse (website monitoring), Amplify Compliance (ACOMP), and other SaaS offerings delivered via subscription.
  • AI-Powered Services: Solera OS, Atlas and Atlas Network (AI agent for lead qualification, client communications, and project coordination), and other AI-assisted tools that may interact with you via chat, email, SMS, or WhatsApp.
  • Communications Services: Automated and human-assisted messaging via email, SMS, and WhatsApp Business, facilitated through third-party platforms including Twilio and Meta.

The specific scope of services provided to you will be defined in any applicable service agreement, proposal, or subscription plan.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our services. By using our services, you represent and warrant that you meet these requirements. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts and Access

Certain services require you to create an account or provide credentials. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. AI-Powered Services and Automated Interactions

Creatiq deploys AI agents, including Atlas, to assist with client communications, lead qualification, scheduling, and project coordination. By engaging with our services, you acknowledge and agree that:

  • You may interact with AI-powered agents via chat, email, SMS, or WhatsApp. These agents operate under human oversight but may respond autonomously.
  • AI-generated content, recommendations, and communications are provided for informational and operational purposes and do not constitute professional legal, financial, medical, or other regulated advice.
  • We continuously improve our AI systems. Interactions may be reviewed to improve service quality, subject to our Privacy Policy.
  • You should not share sensitive personal information (such as Social Security numbers, bank account details, or health records) with our AI agents unless specifically requested through a verified, secure process.

5. Communications Consent (SMS, WhatsApp, Email)

By providing your phone number or email address through our website, contact forms, WhatsApp, or any other channel, you expressly consent to receive communications from Creatiq, including:

  • Transactional messages (appointment confirmations, project updates, invoices, support replies)
  • Service-related notifications (onboarding information, status updates, delivery confirmations)
  • Marketing and promotional communications (only with your separate opt-in consent)

SMS/Text Messaging: Message frequency varies. Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP to any message. Reply HELP for assistance. Consent to receive SMS is not a condition of purchase.

WhatsApp: By initiating or responding to a conversation with Creatiq on WhatsApp, you consent to receive replies and follow-up messages via WhatsApp. You may opt out at any time by messaging “STOP” or blocking our number. WhatsApp communications are subject to Meta’s Terms of Service and Privacy Policy in addition to these Terms.

Email: You may unsubscribe from marketing emails at any time using the unsubscribe link in any email. Transactional and service-related emails necessary for the performance of our services are not subject to unsubscribe requests.

We comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal and state telecommunications regulations.

6. Payments and Subscriptions

Payment for services is processed through Stripe, Inc. By making a payment, you agree to Stripe’s Terms of Service in addition to these Terms. All fees are stated in U.S. dollars unless otherwise specified.

  • Subscription Services: Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel through your account dashboard or by contacting us at billing@creatiq.com.
  • Refunds: Refund eligibility is determined by the specific service agreement or subscription plan. Custom agency work is generally non-refundable once work has commenced, unless otherwise stated in your service agreement.
  • Late Payments: Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Intellectual Property

All content, designs, code, trademarks, logos, and materials on creatiq.com and within our platforms are the property of Creatiq Communications, Inc. or its licensors, unless otherwise specified in a client service agreement. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our materials without prior written consent.

For client work: intellectual property rights in deliverables transfer to the client upon full payment, unless otherwise specified in the applicable service agreement. Creatiq retains the right to display work in its portfolio and marketing materials unless a non-disclosure agreement states otherwise.

8. User Content and Conduct

You are solely responsible for any content, data, or materials you provide to us (“User Content”). By submitting User Content, you grant Creatiq a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing our services to you. You represent that you have all necessary rights to provide such content and that it does not infringe any third party’s rights.

You agree not to use our services to transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable, or to engage in any activity that violates applicable laws or regulations.

9. Third-Party Services and Platforms

Our services integrate with and rely upon third-party platforms, including but not limited to Stripe (payments), Twilio (SMS), Meta/WhatsApp (messaging), Google (analytics, calendar, workspace), Slack, Calendly, and Supabase. Your use of these integrations may be subject to the respective third party’s terms and privacy policies. Creatiq is not responsible for the availability, accuracy, or practices of third-party services.

10. Cookies and Tracking Technologies

Our websites use cookies and similar technologies to provide functionality, analyze usage, and improve your experience. We honor Global Privacy Control (GPC) signals as a valid opt-out request for the sale or sharing of personal information under Florida law.

11. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your personal information, including your rights under the California Consumer Privacy Act (CCPA/CPRA) and the General Data Protection Regulation (GDPR). The Privacy Policy is incorporated into these Terms by reference.

12. Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Creatiq disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

AI-powered outputs, including those from Atlas, are generated using machine learning models and may contain inaccuracies. Creatiq does not guarantee the accuracy, completeness, or reliability of AI-generated content.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Creatiq Communications, Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our services, regardless of the theory of liability.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to Creatiq in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Creatiq Communications, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third party’s rights; or (d) any User Content you provide.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by JAMS in Los Angeles County, California, in accordance with its Streamlined Arbitration Rules. The arbitrator’s decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative action.

16. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services.

17. Termination

We may suspend or terminate your access to our services at any time, with or without cause, upon notice to you. Upon termination, your right to use our services ceases immediately. Sections that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Creatiq Communications, Inc. regarding the use of our services and supersede all prior agreements and understandings.
